TERMES DE REFERENCE POUR LA REVUE CONFORMITE DU MANUEL DE PROTECTION DES DONNEES DE AFRICAN GARANTEE FUND WEST AFRICA

I. CONTEXT AND JUSTIFICATION
Created in 1994, the GARI Fund, now AGF West Africa SA, is an
international financial institution specializing in guaranteeing medium and long-term credits and guaranteeing
resource-raising operations.
In December 2015, the GARI Fund was acquired at 81.52% by the African
Guarantee Fund Group, whose operational headquarters are based in Nairobi, Kenya.
Since February 2, 2018, the GARI Fund has become AGF West Africa SA, a subsidiary of the African Guarantee
Fund Group.
The African Guarantee Fund Group is a guarantee fund whose main objectives are
:
• Support financial institutions in order to increase the volume of credits intended for
SMEs/SMIs in Africa;
• Participate in the emergence of green finance in the African ecosystem;
• Increase the financing capacity of the needs of SMEs/SMIs.
The head office of the parent company is based in Mauritius, while the subsidiary, AGF West Africa
SA, is located in Lomé.
African Guarantee Fund supports financial institutions across the African continent.
In this regard, the products offered include, among others:
– Bank loan guarantee: individual guarantee and portfolio guarantee;
– Fundraising guarantee on financial markets: Guarantee granted to
financial partners who raise funds in the short, medium and long term in order to
finance SMEs/SMIs;
– Equity guarantee: Guarantee in favor of investment funds/Capital
investment so that they can increase their capital investments in
SMEs/SMIs.
Given the nature of its activities, AGF West Africa SA is subject to several
legal and regulatory provisions (BCEAO, national and international, etc.) with which it
must comply.

AGF West Africa SA implements internal policies aligned with
regulatory requirements for the protection of personal data. To ensure
data security and confidentiality, AGF West Africa SA has developed a
comprehensive framework in a data protection and management manual to govern
internal practices relating to the collection, processing, retention, and security of
personal data of partners, clients, employees, and other stakeholders.
To ensure that this manual is fully compliant with applicable laws and regulations,
including Law No. 2019-014 on the protection of personal data in the
Togolese Republic and relevant international standards (GDPR, UEMOA best practices , etc.), AGF West Africa SA is seeking an expert consultant in personal
data protection .

II. OBJECTIVES OF THE MISSION
II.1. General objective
The general objective is to carry out an assessment of the compliance of the internal manual for the
protection of personal data of AGF West Africa SA with the
regulations and provisions in force and with the standards applicable to AGF West Africa SA
in terms of Data Protection and Management because the institutions covered by the
guarantee agreements offered by AGF West Africa SA are located in diverse regions
of the West African economic landscape.
II.2. Specific objectives
The specific objectives of this mission are:
– To examine the current provisions of the manual and compare them with the
legal and regulatory obligations regarding the protection of personal data.
It is important to remember in this respect that the institutions covered by the
guarantee agreements offered by AGF West Africa SA are located in diverse regions
of the West African economic landscape.

– Identify gaps, inadequacies or legal risks in the content of the
manual.
– Propose practical recommendations for updating the manual in accordance
with legal requirements, in particular on the rights of data subjects, the legal basis
for processing, retention periods, data transfers, incident management
, etc.

III. EXPECTED RESULTS
The consultant is expected to produce a manual compliance report, including:
– A point-by-point regulatory analysis grid;
– The gaps identified;
– Concrete and prioritized recommendations (priority,
short/medium/long term);
– An executive summary for Management.

IV. CONSULTANT PROFILE
The Consultant must be a Firm or a Design Office specialized in the protection and management
of personal data and having already supported other local structures in
the implementation of a manual relating to Data Protection and Management.
He must:
– Have at least five (5) years of experience in the fields of protection and
management of personal data with proven expertise and similar missions
in the financial sector or highly regulated sectors.
The Consultant must have already supported other local structures in the
implementation of a manual relating to data protection and management.
– Have a solid knowledge of the legal and regulatory frameworks and good practices
for the protection and management of personal data governing the financial sector
at the regional and international level;
– Have a good knowledge of the institutional and operational environment
of the Guarantee Funds.

V. TEAM PROFILE
V.1. Legal Expert specializing in personal data protection
The expert must have the following qualifications and experience:
– Postgraduate academic training in legal profile with
proven knowledge in personal data protection.
– At least five (05) years of experience as an international consultant or as a
collaborator of an international firm or a regulated financial entity and having
carried out at least two (02) similar missions, for
regulated financial entities (guarantee funds, banks, financial companies,
insurance companies);
– The ability to communicate fluently and effectively, both in writing and orally in
French and English.

VI. DURATION OF THE MISSION
The mission must be carried out over a maximum period of 2 weeks from the date of
contracting.
VII. APPLICATION FILES
The application file must consist of a letter of submission of the technical and
financial offer including:
1- Presentation of the firm with all documents proving the legal existence of the firm as well
as all documents proving that the firm is in good standing with the tax administration of
its country of establishment;
2- The firm’s references (at least three professional references);
3- The description of the understanding of the mission;
4- The methodological approach explaining the technical approach and the schedule
for the mission;
5- The team dedicated to the mission
